2. Materials Declaration Requirements.

3.7.1 Kin Yat shall comply with all Materials Declaration Requirements for any and all third party suppliers that supply Components used in the Manufacturing Services. Kin Yat must obtain, maintain and have available at all times the documentation that demonstrates that all third party suppliers to the applicable Material Declaration requirements. Kin Yat shall be solely accountable for the quality and completeness of the verification.

4.2.1 Kin Yat shall use only materials and components that have been approved by iRobot for the Manufacturing Services in accordance with the Specifications that include any specifications, engineering changes or amendments to them. Kin Yat shall be responsible for collecting, retaining and having available at all times for inspection by iRobot or its designee any documentation that indicates that all of its third party suppliers are in compliance with the applicable Material Declaration Requirements.

4.2.2 Kin Yat will monitor and report to iRobot monthly the percentage of Purchase orders that are shipped on-time. This is based on iRobot's definition of "on-time" that includes shipping the parts, materials, and products ordered by iRobot for delivery within the Lead Time, as well as any deadlines for shipping that are specified in the applicable Product specifications. Kin Yat shall also maintain the records and documentation of all Supplier Quality Assurance activities, testing and evaluations.
